DENVER – SLATE Partners (SLATE) announced that its Principals advised Earth Services & Abatement, LLC (ESA) on its merger with 1 Priority Environmental Services, LLC (1 Priority), a Dallas-based provider of abatement, indoor air quality and decontamination services. The partnership is financially backed by O2 Investment Partners, LLC. The leadership of both teams will remain unchanged with Kory and Kristian Mitchell remaining Co-Presidents of ESA and Gary Caldwell remaining CEO of 1 Priority.
Founded in 1982 and headquartered in Commerce City, Colorado, ESA provides a single-source solution for abatement, demolition, and environmental remediation services across the Rocky Mountain and Midwest regions of the country. The Company’s breadth of self-performed services is unique within the markets it serves and includes: (i) asbestos abatement, (ii) structure and infrastructure demolition, (iii) soil/water remediation, and (iv) consulting/value engineering, among others. ESA’s clients represent a variety of end markets, including municipal, federal, commercial, education, healthcare, railroad, oil & gas, and power generation; and are served through a host of contractual arrangements, including numerous master service agreements.
Kory Mitchell, ESA’s Co-President, remarked, “Our merger with 1 Priority creates tremendous synergies between the companies. It is a win-win for our employees and clients alike. We look forward to growing geographically and adding some of our remediation service lines to their seven office locations. With Gary and his partners our company becomes one of the top firms in the country that provides turnkey environmental and demolition services in the Midwest, Rocky Mountains, Texas, and Southeast U.S.”
Aaron Bachik, co-founder of SLATE Partners, commented, “When we were first approached by ESA, the founders made it very clear they were not looking to sell their business, but rather identify a partner that could help them accelerate the growth of their Company. Merging with 1 Priority, which has strong operations throughout Texas and Louisiana, and is backed by the private equity group, O2 Investment Partners, provided the operational depth, immediate geographic expansion, and financial horsepower ESA was seeking. The combination of these two industry leaders creates one of the top five abatement firms in the United States. The fit could not be better.”
ESA received legal representation in the transaction from Kutak Rock, LLP and accounting support from Newport Board Group, LLC.
